Terms of Service

These Terms govern your access to and use of Isle's cloud infrastructure services. Please read them carefully before using Isle.

1. Acceptance of Terms

By creating an account, accessing, or using any Isle service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" throughout these Terms include that organisation.

You must be at least 16 years old to create an account. Accounts registered by automated means are not permitted.

2. Description of Service

Isle provides cloud infrastructure services including, but not limited to: managed container deployments, virtual machines, managed databases (PostgreSQL, Redis), object storage, private networking, and associated developer tooling such as a CLI, web dashboard, and API (collectively, the "Platform").

Isle reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts & Registration

You must provide accurate, current, and complete information during registration and keep your account information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must notify Isle immediately at [email protected] upon becoming aware of any unauthorised use of your account or any other breach of security.

Each account is for a single user or organisation. You may not share account credentials with third parties. If you need multiple users, use the team membership features within your organisation.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Send unsolicited bulk communications (spam) or operate open mail relays.
  • Distribute malware, ransomware, or other malicious software.
  • Conduct or facilitate denial-of-service attacks or port scans against systems you do not own.
  • Mine cryptocurrency without prior written consent from Isle.
  • Host or transmit child sexual abuse material or other illegal content.
  • Circumvent or attempt to circumvent usage limits, quotas, or technical security measures.
  • Resell or sublicense the Service without Isle's prior written authorisation.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.

Isle may investigate and suspend or terminate accounts that violate this policy without advance notice. We will cooperate with law enforcement where required.

5. Billing & Payment

Paid plans are billed monthly in arrears based on actual resource usage during the billing period. All prices are in Euros (€) unless otherwise stated. Charges are non-refundable except where required by applicable law.

By providing a payment method you authorise Isle to charge it for all amounts due. If a charge fails, Isle may retry the charge and may suspend the Service until payment is received. You are responsible for all applicable taxes.

Isle reserves the right to change pricing with 30 days' written notice via email or dashboard notification. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Free tier resources are provided at Isle's discretion and may be adjusted or discontinued at any time with reasonable notice.

6. Your Data

You retain all ownership rights to data, code, and content you upload, deploy, or store on the Platform ("Customer Data"). You grant Isle a limited, non-exclusive licence to store, process, and transmit Customer Data solely as necessary to provide and improve the Service.

Isle will not sell, rent, or disclose Customer Data to third parties except as required by law, as described in our Privacy Policy, or with your explicit consent. Isle implements industry-standard technical and organisational measures to protect Customer Data.

You are solely responsible for the legality, reliability, accuracy, and appropriateness of Customer Data. You represent and warrant that you have all rights necessary to upload and process Customer Data on the Platform.

Upon account termination, Isle will retain Customer Data for 14 days to allow export, after which it will be deleted from live systems. Backup copies may persist for up to 30 additional days before being purged.

7. Intellectual Property

The Service, including all software, documentation, trademarks, logos, and content created by Isle, is owned by Isle and protected by applicable intellectual property laws. These Terms grant you no right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Isle a perpetual, irrevocable, worldwide, royalty-free licence to use that Feedback for any purpose without compensation or attribution to you.

8. Availability & SLA

Isle targets 99.9% monthly uptime for production services, excluding scheduled maintenance windows (of which we provide at least 48 hours' notice) and events outside Isle's reasonable control.

In the event of a verified outage that causes monthly uptime to fall below the target, you may request a service credit by contacting [email protected] within 30 days of the outage. Credits are calculated as a percentage of the affected service's monthly fee and are applied to future invoices. Credits are your sole remedy for service unavailability.

9. Confidentiality

Each party may receive confidential information of the other ("Confidential Information"). Each party agrees to: (a) keep the other's Confidential Information strictly confidential; (b) use Confidential Information only for the purpose of exercising rights or fulfilling obligations under these Terms; and (c) not disclose Confidential Information to any third party without prior written consent, except as required by law.

Confidential Information does not include information that is or becomes publicly known through no breach of these Terms, was independently developed without reference to Confidential Information, or was rightfully received from a third party without restriction.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

ISLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEMS, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ISLE, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ISLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, ISLE'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ISLE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR €100, WHICHEVER IS GREATER.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO: (A) EITHER PARTY'S INDEMNIFICATION OBLIGATIONS; (B) ISLE'S FRAUD OR WILFUL MISCONDUCT; OR (C) LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Isle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right.

Isle will promptly notify you of any such claim and reasonably cooperate in the defence. You may not settle any claim that imposes obligations on Isle without Isle's prior written consent.

13. Termination

You may close your account at any time from the account settings page. Closing your account will immediately suspend active services and begin the 14-day data retention period described in Section 6.

Isle may suspend or terminate your account immediately and without notice if you: (a) materially breach these Terms and fail to cure the breach within 7 days of written notice; (b) violate the Acceptable Use Policy; (c) become insolvent or subject to bankruptcy proceedings; or (d) pose a security risk to the Service or other users.

Upon termination, all licences granted to you cease immediately. Sections that by their nature should survive termination — including Sections 6, 7, 10, 11, 12, and 15 — will survive.

14. Changes to These Terms

Isle may update these Terms from time to time. We will notify you of material changes by email (to the address on your account) or by posting a notice in the dashboard at least 14 days before the changes take effect. If you do not agree to the revised Terms, you must stop using the Service before the changes become effective. Your continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Berlin, Germany, and each party irrevocably submits to that jurisdiction.

If you are a consumer resident in the EU, you may also have the right to bring proceedings in the courts of your country of residence.
